Parties & Acceptance BMD Freight Solutions LLC("BMD Freight," "we," "us," "our"), a licensed transportation broker (USDOT Broker #4467164), agrees to provide brokerage services to the customer ("you," "your") identified in the Order Confirmation. This Agreement is governed by the laws of Illinois. By using our website or placing an order, you confirm you have read, understood, and agree to be legally bound by all terms herein.

1. Our Role as Broker

You acknowledge that BMD Freight acts solely as a broker to arrange for the transportation of your vehicle by a federally licensed and insured motor carrier("Carrier"). We are not the Carrier. Our services are deemed complete upon assigning a Carrier to your order. We are not liable for the acts, omissions, or performance of the Carrier.

2. Your Responsibilities

You warrant that all information provided(e.g., vehicle condition, size, operability, pickup/delivery locations) is accurate. You are responsible for:

  • Vehicle Preparation: Removing all personal belongings, loose parts, and prohibited items; ensuring the vehicle is operable with no more than 1/4 tank of fuel; deactivating alarm systems.
  • Prohibited Items: Do not store hazardous materials, explosives, firearms, illegal
  • substances, or pets in the vehicle. Violation may result in immediate cancellation and you will be liable for all resulting fines, damages, or penalties.
  • Tolls & Fees: Removing or disabling all toll transponders. You are responsible for all tolls, fines, or related charges incurred during transport.
  • Shipment by Sea: For Hawaii/Alaska shipments, you authorize us to share your payment information with MATSON to cover sea transport costs. You are responsible for providing all required customs documentation.

3. Transportation Process

  • Pickup & Delivery: You or your adult (18+) authorized representative must be present at pickup and delivery. Failure to be present may result in cancellation or storage fees at your expense.
  • Vehicle Inspection & Bill of Lading (BOL): You and the Carrier will conduct a joint inspection of the vehicle's condition at pickup and delivery, noting any damage on the BOL. Your signature on the BOL at delivery, without noting new damage, constitutes acceptance of the vehicle in satisfactory condition and releases BMD Freight and the Carrier from any further damage claims. You must keep a copy of the BOL.
  • Delays: All pickup and delivery dates are estimates. We are not liable for delays caused by weather, traffic, mechanical failure, or other factors beyond our control.
  • Quotes & Price Changes: Quotes are valid for 5 days. The final price may change due to vehicle condition, size, or fuel price fluctuations. We will notify you of any increase; you may accept the new price or cancel without penalty.

4. Payment Terms

  • Brokerage Fee: You agree to pay the BMD Freight brokerage fee upon dispatch of a Carrier to your order. This fee is for our brokerage services and is non-refundable once the Carrier has been dispatched.
  • Payment to Carrier: The remaining balance for transportation services must be paid directly to the Carrier upon delivery of your vehicle. Acceptable payment methods to the Carrier are cash, certified funds, cashier's check, or money order. The Carrier will not accept personal checks, debit cards, or credit cards.
  • Limited Use of Credit Cards: Full payment by credit card is only permitted in special circumstances, subject to our prior approval. All credit card payments are subject to a nonrefundable transaction fee of 6% of the total amount charged.
  • Default Payment Authorization: By providing a credit card, you authorize BMD Freight to charge the card for the brokerage fee upon Carrier dispatch. If you pay by credit card and we are unable to obtain a required signature after a carrier has been dispatched, you authorize us to charge a non-refundable service fee to your card and convert the remaining balance to Cash on Delivery (COD) payable to the carrier.
  • Failure to Pay / Refusal of Delivery: If you refuse delivery, fail to have payment for the Carrier, or are unavailable to accept delivery, you are responsible for all resulting storage and redelivery costs. The Carrier retains a lien on your vehicle until all charges are paid in full.
  • Payment terms with CC Policy and Chargebacks: A valid credit card must remain on file for the duration of the shipment for billing, verification, and cancellation fee purposes. You agree not to initiate a chargeback for any authorized charge. If you unlawfully initiate a chargeback, you will be responsible for reimbursing BMD Freight for the full amount plus all associated collection costs, including attorney fees and administrative fees.

5. Cancellations & Modifications

  • Before Carrier Dispatch: No fee.
  • After Carrier Dispatch: A cancellation fee of up to $250 will be charged.
  • After Vehicle Pickup: No cancellations or refunds.
  • Rescheduling may incur a $50 fee. All cancellation requests must be sent in writing to info@bmdfreight.com or dispatch@bmdfreight.com.

6. Insurance & Liability

  • Primary Insurance: The Carrier is required to maintain cargo insurance. You must file any damage claims directly with the Carrier. BMD Freight is not liable for vehicle damage or loss.
  • Your Insurance: You represent that you maintain your own insurance coverage for the vehicle. You are responsible for any damage not covered by the Carrier's policy.
  • Personal Belongings: Are not covered by any insurance and are transported at your sole risk. They are limited to 100 lbs. in the trunk/cargo area and must not obstruct driver visibility.

7. Limitation of Liability

BMD FREIGHT'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE TOTAL BROKERAGE FEE YOU PAID FOR THE SERVICES TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS OR RENTAL CAR COSTS).

8. Indemnification

You agree to indemnify and hold harmless BMD Freight, its agents, and affiliates from any claims, losses, or damages (including legal fees) arising from your breach of this Agreement, your negligence, or the presence of prohibited items in your vehicle.

9. Dispute Resolution

Any dispute or claim relating to this Agreement or our services shall be resolved through binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

10.General Terms

  • Force Majeure: We are not liable for failure or delay due to causes beyond our reasonable control (e.g., acts of God, war, terrorism, severe weather, government orders).
  • Changes to Terms: We may modify these terms by posting an updated version on our website. Your continued use of our services constitutes acceptance
  • No Use of Logo: You may not use our name, logo, or trademarks without our prior written consent.
